Terms of service
Effective date: 20 October 2026.
Sourcing Agent Pro (we, us or our) provides sourcing, inspection, warehousing and fulfillment services to business customers. These Terms explain the conditions for those services. Contact us before placing an order if a requirement is not covered by your written quotation.
1 Scope and agreement
Our services are intended for merchants and other business customers. You must have authority to act for your business and meet the applicable age and legal capacity requirements. Your retail relationship with your own customers remains separate from our service relationship with you. Nothing here removes rights that applicable law does not allow the parties to exclude.
A service order is accepted when we confirm its scope, price and relevant instructions in writing. A quotation, invoice, confirmed order or signed agreement may contain specific terms. A specifically agreed term takes priority over a general policy on the same subject. We will not apply a material change to an accepted order without agreement.
In these policies, business days mean Monday to Friday, excluding public holidays in mainland China. Times are China Standard Time, UTC+8. Customer support or warehouse activity outside those days does not change a policy deadline unless we agree otherwise.
2 Service scope and quotations
We may arrange supplier sourcing, purchasing, sample checks, agreed quality inspections, storage, packing, shipping and custom work. Only services confirmed for your order are included. The quotation should identify the product specifications, quantities, service scope, currency, payment schedule and relevant third-party charges.
Product availability, shipping rates, exchange rates and supplier lead times can change before an order is accepted. We will seek your approval for a material cost or specification change. Website examples and estimated savings are illustrative; your accepted quotation controls the actual price and scope.
3 Your instructions and product responsibilities
Provide accurate SKUs, variants, quantities, artwork, delivery details, recipient contacts and declared product information. Confirm that you are entitled to use any brand, design, image or other material you supply. Tell us about batteries, liquids, magnets, dangerous goods, temperature sensitivity and other special handling needs before ordering.
You are responsible for your sales claims, destination-market requirements and your end-customer obligations. Product certification, laboratory testing, legal compliance review and recall management are included only if expressly agreed. We must still perform the services we accept with reasonable care and comply with the laws that apply to us.
4 Payment and committed costs
Pay only through payment instructions verified with our authorized contact. Payment due dates and any deposit or balance requirements are stated in the accepted quotation. Procurement or dispatch may wait until payment clears.
If you cancel after we have committed funds or started authorized work, cancellation is assessed under our Refund Resend and Returns Policy. We will explain documented, nonrecoverable costs and return the refundable balance. A charge is not automatically nonrefundable merely because it is described as a deposit or customization fee.
5 Accounts and connected stores
Use individual authorized access where available, protect credentials and notify us of suspected unauthorized activity. Connect a store or share order data only where you have authority to do so. Confirm SKU mappings, addresses and shipping rules before fulfillment is activated.
Integrations and automated actions depend on the connection and permissions actually enabled. Review exceptions and promptly tell us about cancellations or address changes. An integration does not guarantee that every edit reaches an order already being processed. Personal data is handled as described in our Privacy Policy and any agreed data processing terms.
6 Samples and quality checks
Inspection scope, sampling method, acceptable tolerances and any approved reference sample should be recorded before work starts. A sample or visual check does not establish that an entire production batch is free of defects. Specialized testing, destructive testing or certification requires separate agreement.
We will report material issues found within the agreed inspection scope. We will seek instructions before knowingly releasing goods that fail the agreed criteria, unless a documented instruction already authorizes the relevant disposition.
7 Shipping and service interruptions
Shipping estimates, carrier conditions, customs responsibilities and available remedies are explained in our Shipping and Delivery Policy and the confirmed route quotation. We will give you relevant information about a disruption and cooperate on reasonable next steps. A disruption does not automatically cancel an obligation to account for your money or goods.
8 Responsibility and remedies
Responsibility is assessed against the agreed service, the cause of the loss, available evidence and applicable law. If we fail to perform an accepted service correctly, we will work with you on an appropriate correction, replacement, refund or other remedy. A supplier or carrier limitation does not automatically remove responsibility for our own error.
We do not guarantee a particular sales result, profit margin, marketplace ranking or uninterrupted availability of a third-party platform. Any financial liability limit for a specific commercial arrangement must be expressly agreed in writing and remain lawful. Nothing excludes liability that cannot lawfully be excluded, including any applicable liability for fraud, intentional misconduct or gross negligence.
9 Suspension and ending services
We may pause affected work where payment is overdue, instructions are materially incomplete, there is a credible security concern, or the work appears unlawful. We will explain the reason and give a reasonable opportunity to resolve it where practicable. Urgent safety or legal restrictions may require immediate action.
When services end, we will reconcile outstanding charges, unspent balances, inventory and any agreed transfer or collection arrangements. Ending an account does not itself authorize sale or destruction of your goods. Legal retention requirements and unresolved claims may affect deletion of related records.
10 Updates and disputes
We will identify the effective date of a new policy version and give reasonable notice of material changes affecting ongoing services. Updated terms normally apply to new orders; changes to an accepted order require agreement or another lawful basis.
Please first send a clear description of any dispute and supporting documents to our contact email so we can attempt a practical resolution.
Subject to mandatory applicable law and any separately agreed dispute resolution clause, these Terms are governed by the laws of mainland China. A dispute that cannot be resolved by discussion may be brought before the competent courts at our registered place of business in Hangzhou, China. This clause does not remove any mandatory right to another forum.
